These Vector Intel Platform Terms of Service (these “Terms”) govern your access to and use of the Vector Intel platform (the “Platform”) operated by Vector Intelligence Solutions, Inc. (“Vector,” “VIS,” “we,” “us,” or “our”). By creating an account, clicking to accept, or accessing the Platform, you agree to these Terms.

If you do not agree to these Terms, do not access or use the Platform.

If your access is provided through your organization, your organization’s agreement with Vector, including any Master Services Agreement and Order Form, also governs your use of the Platform. If these Terms conflict with that agreement, the customer agreement controls with respect to the organizational relationship.

1. Platform Description

Vector Intel is an AI-assisted commercial real estate diligence authoring and workflow platform. The Platform may be used to upload source materials, process source materials through AI-assisted extraction and drafting workflows, generate draft reports and related outputs, review evidence and quality-control flags, provide revision instructions, and manage diligence workflows.

2. What Vector Intel Is Not

Vector Intel is not a substitute for professional judgment. The Platform does not perform property inspections, render engineering opinions, render environmental opinions, issue professional certifications, make lending or investment decisions, provide legal advice, or act as the engineer of record, environmental professional of record, or other licensed professional of record.

All AI Outputs and Draft Reports are drafts that require professional human review before use, reliance, distribution, or delivery to an end client.

3. Eligibility and Accounts

The Platform is intended for business use by authorized professional users. You represent that you are at least 18 years old, that you are authorized to use the Platform on behalf of your organization, and that you will use the Platform only for legitimate business purposes.

You must provide accurate account information and keep your credentials confidential. You may not share your account credentials or allow another person to use your account. You are responsible for activity occurring under your account.

4. Permitted Use

You may use the Platform only as authorized by your organization and any applicable agreement between your organization and Vector. Permitted uses may include uploading Source Materials, creating and managing engagements, reviewing AI Outputs, submitting comments, downloading deliverables, and using dashboard features for authorized business purposes.

5. Prohibited Use

You may not:

  1. use the Platform for unlawful, fraudulent, harmful, or unauthorized purposes;
  2. access or attempt to access another customer’s data;
  3. interfere with Platform security, access controls, or tenant isolation;
  4. copy, modify, adapt, translate, or create derivative works of the Platform;
  5. reverse engineer, decompile, disassemble, or attempt to derive source code, models, prompts, workflows, schemas, algorithms, or underlying logic;
  6. use the Platform to build, train, benchmark, or improve a competing product or AI system;
  7. scrape, crawl, harvest, or use automated tools to access the Platform except through authorized APIs;
  8. upload malware, harmful code, or unlawful content;
  9. misrepresent your identity, authority, credentials, qualifications, or affiliation;
  10. remove proprietary notices;
  11. overload, disrupt, or impair the Platform; or
  12. use AI Outputs without appropriate professional review.

6. User Content and Source Materials

You and your organization retain ownership of materials uploaded to the Platform, subject to the applicable customer agreement. You represent that you have the necessary rights and permissions to upload and process such materials through the Platform.

By uploading materials, you authorize Vector to store, process, transmit, analyze, and use those materials as necessary to provide the Platform and services to your organization.

7. AI Outputs

The Platform uses artificial intelligence technologies that may produce inaccurate, incomplete, inconsistent, or unexpected outputs. AI Outputs are drafts and must be independently reviewed and verified by qualified professionals before use or reliance.

Vector does not warrant the accuracy, completeness, technical sufficiency, professional adequacy, regulatory compliance, or defensibility of AI Outputs or Draft Reports. You and your organization are responsible for all final professional judgments, conclusions, certifications, and deliverables.

8. Human Review Required

You may not represent any AI Output as a final professional report unless it has been reviewed and approved through appropriate professional procedures. You are responsible for identifying errors, omissions, unsupported claims, inconsistencies, and limitations before using any AI Output.

9. Intellectual Property

The Platform, including software, user interfaces, workflows, prompts, schemas, models, algorithms, templates, documentation, designs, trademarks, and all related intellectual property, is owned by Vector or its licensors.

These Terms grant you only a limited, revocable, non-exclusive, non-transferable right to access and use the Platform as authorized by your organization and applicable agreements.

You may use AI Outputs only as permitted under your organization’s agreement with Vector.

10. Feedback

If you provide feedback, suggestions, ideas, corrections, or recommendations about the Platform, you grant Vector a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, and commercialize that feedback without restriction or compensation.

11. Confidentiality

The Platform, including its functionality, workflows, prompts, schemas, models, interface, performance, and product roadmap, is confidential to Vector. You may not disclose non-public Platform information except as authorized by Vector or your organization’s agreement with Vector.

Source Materials, AI Outputs, and engagement information may be confidential to your organization and must be handled in accordance with your organization’s policies and applicable agreements.

12. Privacy

Your use of the Platform is subject to the Vector Intel Privacy Policy, which describes how Vector collects, uses, discloses, retains, and protects personal information in connection with the Platform.

13. Third-Party Services

The Platform may use third-party providers for hosting, storage, authentication, AI processing, analytics, monitoring, communications, and support. Vector is not responsible for third-party services you access independently outside the Platform.

14. Suspension and Termination

Vector may suspend or terminate your access if: you violate these Terms; your organization requests removal of your access; your organization’s agreement with Vector expires or terminates; your access creates a security or legal risk; or Vector is required to do so by law.

Upon termination, you must stop using the Platform. Sections that by their nature should survive termination will survive, including confidentiality, intellectual property, AI disclaimers, limitation of liability, and indemnity.

15. Disclaimer

The Platform and all AI Outputs are provided “as is” and “as available.” To the fullest extent permitted by law, Vector disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, technical sufficiency, professional adequacy, regulatory compliance, and defensibility.

Vector does not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components.

16. Limitation of Liability

To the fullest extent permitted by law, Vector will not be liable to you for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising out of or related to your use of the Platform.

If your organization has an agreement with Vector, the liability provisions of that agreement control claims arising from the organizational relationship. Otherwise, Vector’s aggregate liability to you arising out of or related to these Terms will not exceed one thousand dollars ($1,000).

17. Indemnity

You agree to indemnify and hold harmless Vector from claims, losses, liabilities, damages, costs, and expenses arising from your violation of these Terms, misuse of the Platform, unlawful conduct, unauthorized use of data, or professional conclusions or certifications you make based on AI Outputs.

18. Changes to Terms

Vector may update these Terms from time to time. If changes are material, Vector will provide notice through the Platform, by email, or by other reasonable means. Continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms.

19. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, unless your organization’s agreement with Vector provides otherwise.
