This Privacy Policy describes how Vector Intelligence Solutions, Inc. (“Vector,” “VIS,” “we,” “us,” or “our”) collects, uses, discloses, retains, and protects information in connection with the Vector Intel platform (the “Platform”) from you, our customer and an Authorized User of the Platform. This Privacy Policy applies to users who create accounts, access the Platform, upload materials, review outputs, or otherwise use Vector Intel.
By clicking “I Accept” and using the Platform, you agree to the terms of this Privacy Policy. If you are accepting on behalf of an organization you represent and warrant that you have authority to do so. DO NOT USE THE PLATFORM IF YOU DO NOT OR CANNOT ACCEPT THIS PRIVACY POLICY. If your organization has entered into a Master Services Agreement with Vector, that agreement may contain additional terms governing your organization’s data.
You are fully responsible and liable for ensuring that you have the necessary rights to provide all Customer Data including End Customer Information to us for processing on your behalf. Vector processes Customer Data on your behalf as a service provider, data processor or other similar role under applicable privacy laws, and you remain responsible and liable for determining what Customer Data is submitted to the Platform. You shall not upload any sensitive Customer Data to the Platform (including personal information) that is not strictly required for processing by Vector.

Vector Intel uses AI technologies to extract facts, consolidate information, draft report sections, generate open item lists, and perform quality-control checks. To provide these functions, we may transmit Source Materials, prompts, metadata, and processing instructions to AI model providers or other technology service providers.
We use commercially reasonable efforts to require AI model providers to process Customer Data only for the purpose of providing services to Vector and not to use Customer Data to train their general-purpose models, except as otherwise disclosed to and agreed by the applicable customer.
We will use Customer Data for training and improving our proprietary models and our staff for purposes of delivering better services to you, and may not be able to provide the services should you opt out of such training.
We may disclose information as follows.
Information may be visible to other authorized users within your organization depending on role permissions, engagement assignment, and dashboard configuration.
Vector personnel and authorized contractors may access information as needed to provide the Platform, perform onboarding, support users, troubleshoot issues, maintain security, and improve services.
We may disclose information to service providers that support hosting, database management, file storage, authentication, AI processing, analytics, email delivery, security, monitoring, and customer support. Service providers are authorized to use information only as needed to provide services to Vector and are expected to maintain appropriate confidentiality and security protections.
We may disclose information if we believe disclosure is necessary to comply with law, legal process, regulatory requests, enforce our agreements, protect rights or safety, investigate fraud or security issues, or respond to emergencies.
If Vector is involved in a merger, acquisition, financing, reorganization, sale of assets, or similar transaction, information may be transferred as part of that transaction subject to appropriate protections.
We may disclose information with your consent or your organization’s consent.
We may use cookies, session tokens, local storage, and similar technologies to authenticate users, maintain sessions, remember preferences, improve performance, and protect Platform security.
We retain information for as long as reasonably necessary to provide the Platform, comply with legal obligations, resolve disputes, enforce agreements, maintain audit records, and support security.

These retention policies may be adjusted by the terms of your Master Services Agreement with Vector.
Notwithstanding the foregoing, Vector does not provide data backup or archiving services and shall not be responsible for or required to retrieve any records at your request.
We maintain commercially reasonable administrative, technical, and physical safeguards designed to protect information from unauthorized access, use, disclosure, alteration, and destruction. These safeguards may include access controls, encryption in transit, encryption at rest where appropriate, audit logging, role-based permissions, secure credential handling, and monitoring.
No method of transmission or storage is completely secure. Users are responsible for protecting account credentials and promptly reporting suspected unauthorized access.
The Platform is operated from the United States. Information may be processed and stored in the United States and other locations where Vector or its service providers operate, subject to applicable contractual and legal protections.
Depending on applicable law and your relationship with Vector or your organization, you may have rights to request access, correction, deletion, portability, restriction, or objection regarding personal information. You may also have the right to opt out of certain disclosures or uses.
Requests relating to organization-controlled Customer Data should generally be directed to your organization’s administrator. You may also contact Vector using the contact information below.
If you are an end customer, tenant, borrower, counterparty, or other individual whose information was submitted to Vector Intel by one of our customers, please contact that customer directly regarding privacy requests; we will assist our customer in responding where required by applicable law or contract.
Certain U.S. state privacy laws may provide residents with specific rights. We do not sell personal information or share personal information for cross-context behavioral advertising. We do not knowingly collect sensitive personal information for the purpose of inferring characteristics.
Categories of personal information we may collect include identifiers, professional or employment-related information, internet or electronic network activity, commercial or engagement-related information, and user-generated content submitted through the Platform. For personal information contained in Customer Data, Vector processes that information on behalf of its business customers and will support such customer’s compliance obligations as required by contract and applicable law.
Vector Intel is intended for business users and is not directed to children under 18. We do not knowingly collect personal information from children under 18.
We may update this Privacy Policy from time to time. If we make material changes, we will provide notice through the Platform, by email, or by other reasonable means. Continued use of the Platform after the effective date of an updated Privacy Policy means the updated Privacy Policy applies to future use.

“AI Output” means any draft text, extracted data, consolidated findings, report sections, open items lists, quality-control flags, evidence summaries, Excel exports, or other content generated by Vector Intel from Customer Data.
“Authorized User” means an individual employee, contractor, representative, or agent of a Vector customer who is authorized by such customer to access the Platform.
“Customer Data” means all files, documents, data, reports, images, comments, notes, instructions, engagement details, and other materials provided by or on behalf of Customer to Vector or uploaded to the Platform, including Source Materials and End Customer Information.
“End Customer Information” means information relating to your customers, and their tenants, borrowers, counterparties, or other third parties, provided by you to Vector and that Vector processes as “Customer Data” to provide the Platform to you.
“Source Materials” means the documents, files, reports, notes, photos, forms, spreadsheets, and other materials provided by Customer for processing through Vector Intel.
